Service Agreement and Payment Terms

Contract Terms

• Services are provided under written agreement or proposal acceptance
• Payment terms are specified in individual service agreements
• Monthly services require 30-day notice for cancellation
• Setup fees and deposits are non-refundable
• Late payments may incur additional fees

Service Delivery

• Timeline estimates are provided in good faith but not guaranteed
• Client cooperation and timely feedback are required for project completion
• Changes to project scope may result in additional charges
• We reserve the right to refuse service to any client

Client Responsibilities

As our client, you agree to:

• Provide accurate and complete information
• Respond to requests for information in a timely manner
• Provide necessary access to websites, accounts, and systems
• Review and approve work within specified timeframes
• Maintain backup copies of your website and data
• Comply with all applicable laws and regulations

Intellectual Property Rights

Client Content

You retain ownership of all content, trademarks, and other materials you provide to us. By providing content, you grant us a non-exclusive license to use it for the purpose of delivering our services.

Our Work Product

Upon full payment, you receive ownership of custom work created specifically for you. We retain rights to our methodologies, processes, and any pre-existing intellectual property.

Performance and Results

• We use industry best practices and proven strategies
• Results may vary based on competition, market conditions, and other factors
• SEO results typically take 3-6 months to show significant improvement
• We provide regular reporting on campaign performance

Limitation of Liability

VICE SEO's liability is limited to the amount paid for services in the 12 months preceding any claim. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Third-party actions or platform policy changes
• Technical issues beyond our reasonable control
• Client's failure to follow our recommendations

Confidentiality

We respect the confidentiality of your business information and will not disclose sensitive data to third parties without your consent, except as required by law or necessary to provide our services.

Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination:

• Client remains responsible for payment of services rendered
• We will provide final reports and transfer deliverables
• Access credentials will be transferred or revoked as appropriate
• Confidentiality obligations continue post-termination

Dispute Resolution

Any disputes arising from our services will be resolved through:

1. Good faith negotiation between parties
2. Mediation if negotiation fails
3. Binding arbitration under Florida state law

Governing Law

These terms are governed by the laws of the State of Florida, United States. Any legal proceedings will be conducted in Miami-Dade County, Florida.

Changes to Terms
